DIFC is different from a standard UAE free zone. It has its own companies framework, independent common-law courts and a dedicated financial regulator for regulated financial services. That creates a strong institutional environment, but it also means the setup should be planned correctly from the beginning.
Skyway manages the commercial formation journey as one connected project. We help determine whether the business belongs on a non-regulated ROC-only path or requires DFSA authorisation, then coordinate incorporation, licensing, premises, immigration, bank onboarding and tax setup around that decision.
What Our DIFC Company Formation Service Includes
DIFC suitability and regulatory scoping
We review your business model, products, revenue streams, target clients and planned activities to determine whether DIFC is the right jurisdiction and whether any proposed activity falls within DFSA-regulated financial services.
Legal structure selection
We help select the appropriate DIFC legal form based on ownership, liability, group structure and operating model. Common options can include a Private Company, recognised branch, Limited Liability Partnership and specialised structures where eligible.
Business activity and licence mapping
We align the commercial licence activities with what the business will actually do. For financial firms, we also identify the regulatory authorisation path that must be completed before regulated operations begin.
Application and incorporation coordination
We prepare and coordinate the application file, shareholder and director information, UBO information, constitutional documents and incorporation steps with the DIFC Registrar of Companies.
Office and registered address planning
DIFC businesses generally require an approved presence or registered address that matches the chosen setup. We help compare business centre, co-working and commercial office options based on activity, headcount and budget.
Visa and immigration support
After formation, we can coordinate establishment and residence-visa steps for eligible owners and employees, including supporting documentation and related immigration formalities.
Corporate bank account readiness
We organise the banking file around the company’s ownership, business activity, source of funds, expected transactions, contracts and economic substance so the business is better prepared for bank KYC review.
Tax, accounting and ongoing compliance
Skyway can continue with Corporate Tax registration, VAT assessment, bookkeeping, accounting, licence renewal, amendments and other ongoing corporate compliance requirements.
Financial Firm or Non-Financial Firm? Start Here
The first DIFC decision is not simply “which licence do I need?” It is whether the proposed business will conduct regulated financial services or operate as a non-financial or non-regulated business.
Regulated financial businesses
Businesses carrying on regulated financial services in or from DIFC require authorisation from the Dubai Financial Services Authority. Depending on the activity, the process can involve a letter of intent, a regulatory business plan, fit-and-proper assessments, capital and governance requirements, in-principle approval and final authorisation before regulated services begin. DIFC incorporation by itself does not authorise a company to provide financial services.
Non-financial and non-regulated businesses
DIFC also licenses a broad range of professional and commercial businesses, including legal and consulting firms, tax and accounting providers, technology companies, HR and recruitment firms, marketing and other professional services. These businesses are generally incorporated and licensed through the DIFC Authority and Registrar of Companies without a DFSA financial-services licence, provided their activity is not regulated by the DFSA.
Common DIFC Business Structures
Private Company
01A DIFC Private Company is a common operating vehicle for new businesses establishing a standalone legal entity in the Centre. It can suit professional services, technology, regional operations and many non-financial businesses, subject to the selected activities and licensing conditions.
Recognised Company or Branch
02An existing foreign or UAE company may register a branch in DIFC as a recognised company. A branch does not create the same separation from the parent as a newly incorporated subsidiary, so the group structure and liability position should be considered before filing.
Limited Liability Partnership and other forms
03DIFC supports several partnership and specialised legal forms. The right structure depends on ownership, professional activity, governance and whether the entity will be regulated. Skyway confirms the appropriate structure before documents are prepared.
Innovation, Active Enterprise and specialist structures
04DIFC also offers specialist and subsidised structures for qualifying technology, innovation, investment and holding use cases. Eligibility, permitted activity and fee treatment should be checked against the current DIFC rules rather than assumed from a promotional package.
Who Is DIFC Best Suited For?
Banks, investment firms, asset managers, insurance and other regulated financial businesses seeking a DIFC and DFSA framework.
Fintech and technology businesses that benefit from proximity to financial institutions, investors and innovation programmes.
Law firms, consulting firms, tax advisers, accountants, recruitment firms and other professional service providers.
Multinational companies establishing a regional office, management function or strategic presence in central Dubai.
Family offices, investment structures and groups that value DIFC’s common-law framework and institutional ecosystem.

Documents Required for DIFC Company Formation
The exact file depends on the entity type, shareholders and whether the activity is regulated. A typical application may require:
Passport and identification documents for shareholders, directors, managers and authorised signatories.
Proof of residential address and contact information for relevant individuals.
Ownership and Ultimate Beneficial Owner information.
Proposed company names and a description of the intended business activities.
Corporate shareholder documents where a company will own shares, including incorporation and constitutional records.
Board or shareholder resolutions and authorisations where applicable.
Business plan, source-of-funds information, financial projections or regulatory materials where required.
Office or registered address documents at the appropriate stage of setup.
For regulated financial services, the DFSA application can require substantially more detail on governance, controllers, senior management, compliance, risk, capital, systems and the regulatory business plan.
DIFC Company Formation Cost
DIFC setup cost depends on the legal form, business category, licence, office, visas, regulatory status and any specialist structure or package. A standard non-financial commercial setup should not be priced as if it were the same as a regulated financial institution or an Innovation Licence startup.
The DIFC Operating Regulations currently list an annual licence fee of USD 12,000 for a registered person conducting other corporate or commercial activities, while specialist structures and subsidised packages can carry different fees. Regulated financial firms may also incur DFSA application, authorisation and supervision costs. Office rent, data protection, visas and other services are separate where applicable.
Skyway can prepare a cost estimate based on your exact activity, structure, shareholder profile, office requirement, visa count and regulatory route so you see the real setup budget before filing.
Get a DIFC Setup QuoteOffice Space and Visa Planning in DIFC
DIFC offers business centres, co-working options and commercial office space. The appropriate option depends on the entity type, number of employees, visa allocation, activity and any regulatory requirements. Some specialist structures may have more flexible registered-address rules, while operating businesses generally need premises that support their actual activity and headcount.
Skyway can coordinate the office decision with the company formation timeline and visa plan so the selected premises do not create avoidable delays or unnecessary cost.
Corporate Bank Account Support for DIFC Companies
DIFC incorporation can strengthen a company’s institutional profile, but no free-zone or DIFC licence guarantees bank account approval. Banks conduct their own KYC, source-of-funds, ownership, activity and transaction reviews.
Skyway helps prepare the banking file and present the company’s business model clearly. Where the shareholder is a foreign company or the group has complex ownership, we help organise the supporting corporate documents and UBO information expected during onboarding.
Corporate Tax, VAT and Compliance
DIFC is a UAE Free Zone. A DIFC entity that meets the legal conditions to be a Qualifying Free Zone Person may benefit from 0% Corporate Tax on Qualifying Income, while taxable income that does not qualify can be subject to 9%. The 0% rate is not a blanket exemption simply because a company holds a DIFC licence.
Free Zone Persons must comply with the UAE Corporate Tax rules, including registration and filing obligations. Depending on the business, VAT, transfer pricing, audited accounts, data protection, UBO, AML/CFT and licence-specific requirements may also apply. Regulated firms have additional DFSA obligations.

Frequently Asked Questions
DIFC is Dubai's financial centre with its own companies framework, common-law courts and financial regulator. These answers cover ownership, DFSA licensing, non-financial businesses, cost, Corporate Tax and branches in DIFC.
Can a foreign investor own 100% of a DIFC company?
Yes. DIFC supports 100% foreign ownership for eligible entity structures. The correct legal form and activity still need to be selected and approved.
Do I need a DFSA licence to set up in DIFC?
Not every DIFC business needs DFSA authorisation. A DFSA licence is required when the company will conduct regulated financial services. Non-financial and non-regulated businesses follow the DIFC Authority and Registrar of Companies licensing path.
Can a DIFC company provide financial services as soon as it is incorporated?
No. Incorporation and a commercial licence do not replace DFSA authorisation. A firm may only conduct regulated financial services after obtaining the required DFSA approval and licence.
Is DIFC only for financial companies?
No. DIFC hosts many non-financial professional and commercial businesses, including legal, consulting, tax, accounting, technology, HR, recruitment and other service providers.
How much does DIFC company formation cost?
The total depends on the entity type, activity, office, visa count and regulatory route. Standard corporate/commercial licence fees, subsidised packages and regulated financial setup costs differ significantly, so a scoped quote is more useful than a generic package price.
Does a DIFC company pay 0% Corporate Tax?
Potentially on Qualifying Income if the company meets all requirements to be a Qualifying Free Zone Person. Non-qualifying taxable income may be subject to 9%, and tax registration and filing obligations still apply.
Can an overseas company open a branch in DIFC?
Yes. Existing companies can register recognised branches subject to DIFC requirements and the proposed activities. Whether a branch or new subsidiary is better depends on liability, tax, banking and group objectives.
Can Skyway help after the DIFC licence is issued?
Yes. Skyway can continue with visas, banking, Corporate Tax, VAT, accounting, licence renewals, amendments and other operational support.
