JAFZA Offshore Company Setup Services We Handle

JAFZA Offshore is a distinct registration framework administered by Jebel Ali Free Zone Authority in Dubai. It is not the same product as a JAFZA trading or industrial free zone licence. A successful setup requires the correct legal entity, an approved registration route and documentation that reflects the intended activity and ownership of the company.

01

Offshore structure and eligibility assessment

We review the planned use of the company, nationality and residency of owners, the countries where investments or commercial contracts will arise, any proposed property holdings and the likely banking needs. If you require UAE retail trading, a conventional office, employee visas or local operating licences, we explain why a JAFZA free zone company or another UAE company formation route may be more appropriate.

02

Registered-agent and authority filing coordination

JAFZA requires offshore incorporation submissions to be made through a JAFZA-approved Registered Agent. Skyway can organise the file and coordinate with an approved agent; agent appointment and formal submissions are carried out in accordance with the authority’s requirements. We do not present an ordinary consultant as the registrar or guarantee approval.

03

Shareholders, directors and governance documents

We help prepare the ownership summary, beneficial owner records, director and secretary details, authorised signatory information, share capital information and the incorporation resolutions required for the proposed structure. Corporate-shareholder applications receive a separate legalisation and attestation checklist so overseas parent-company documents are prepared correctly.

04

Corporate records and annual support

Our assistance does not end at the Certificate of Incorporation. We help plan registered-agent renewals, company records, banking document updates, share transfers or amendments where appropriate, and accounting and audit arrangements. JAFZA’s Offshore Companies Regulations 2023 impose financial-record and audited-account obligations that should be budgeted from year one.

05

Banking and ownership documentation

We can help assemble a bank-ready profile covering the beneficial owner chain, the purpose of the company, source of wealth or funds, expected transaction flows, counterparties, supporting contracts and any intended asset ownership. Approval and account opening remain the independent bank’s decision.

Who Should Consider a JAFZA Offshore Company?

The JAFZA Offshore structure can be useful when the main business need is corporate ownership rather than day-to-day trading from a UAE storefront or office. Its suitability depends on the Registrar’s permitted activities and any separate approvals relevant to the assets or business involved.

01

International holding and investment groups

Founders and existing groups may use an offshore vehicle to hold shares in subsidiaries or other authorised investments. We check the ownership chain, the jurisdictions of the underlying entities, tax considerations, expected distributions and whether a simpler holding or SPV structure is more suitable.

02

Property ownership planning

JAFZA Offshore regulations expressly contemplate ownership of property in designated UAE freehold areas, subject to the applicable authority and property-registration rules. Eligibility for a particular Dubai property is not automatic. We help coordinate the documentary questions, JAFZA NOC requirements where relevant and any Dubai Land Department or property-developer conditions before the investor treats the acquisition as approved.

03

Intellectual property and asset holding

For eligible investors, a separate legal entity can hold contractual rights, permitted intellectual property or investment assets. This requires proper assignment documentation and a review of tax and ownership implications. Company incorporation alone does not transfer property or IP to the new entity.

04

Overseas commercial and contractual arrangements

JAFZA Offshore can be considered for lawful activities allowed by its Registrar, but it does not itself give blanket permission for commercial operations in mainland Dubai. Contracts, invoicing arrangements and activities involving UAE customers or employees need review to determine whether a separate operating licence or permission is required.

Not looking for an offshore holding structure? Skyway also supports mainland company formation services and free zone business setup for businesses that need to operate, employ staff or trade locally.

JAFZA Offshore vs a JAFZA Free Zone Company

The two terms sound similar but have very different purposes. We compare them before starting documentation so you do not register the wrong entity.

JAFZA Free ZoneLicensed trading, service, manufacturing or logistics operations

JAFZA Offshore is therefore a corporate-structure decision, not an inexpensive alternative to a trading licence. Skyway can assess both routes alongside offshore formation across UAE.

JAFZA Offshore Legal Requirements and Ownership

Under the Jebel Ali Free Zone Offshore Companies Regulations 2023, an offshore company is incorporated with limited liability. An application can be made by one or more incorporators; individuals and eligible corporate entities may hold shares. Company naming, share capital and constitutional documents must comply with the Registrar’s rules.

Shareholders and beneficial owners

We prepare individual and corporate shareholder information, the share allocation and a transparent Ultimate Beneficial Owner (UBO) chain. Offshore confidentiality is not anonymity: accurate beneficial ownership data must be available to the relevant registrar, banks and competent authorities as required.

Directors and company secretary

The 2023 regulations require at least one director, with the appointment and governance requirements set out in the company’s articles and applicable regulations. The company also maintains secretary and corporate records as required. We confirm the latest acceptable appointment and identity documents for the proposed shareholders and officers.

Registered office and approved agent

The offshore company must satisfy the registered-office rules and, unless an applicable regulatory exception applies, retain a JAFZA-approved Registered Agent. The agent is responsible for the formal registrar-facing process; Skyway coordinates preparation and the client journey alongside the approved channel.

Property and residency considerations

An offshore company does not normally come with the standard visa allocation of an operating free zone licence. The 2023 JAFZA regulations contain a specific provision allowing certain offshore companies that own property in designated freehold areas to apply to the authority for member residency, subject to authority eligibility and approval. This is not automatic visa entitlement and should be assessed independently before any purchase or incorporation decision.

Our JAFZA Offshore Incorporation Process

Step 1

Free eligibility and use-case consultation

We discuss the company’s intended purpose, countries of activity, shareholders, property or investment plans, banking expectations and whether offshore incorporation is appropriate. If a different structure is more suitable, we explain the alternatives.

Step 2

Company name and structure planning

We help propose a compliant company name, select shareholders, directors and secretary, outline share capital and identify any regulated activities or additional approvals that could affect the application.

Step 3

Appoint an approved registered agent

JAFZA offshore applications must follow the authority’s approved-agent process. Skyway coordinates the relevant agent interaction and confirms the official submission route before fees are committed.

Step 4

Prepare the incorporation documentation

Prepare the application, Memorandum and Articles of Association, agent appointment, KYC/UBO information, signatures and passport copies. For non-individual shareholders, we check corporate resolutions and the notarisation or UAE Embassy attestation documents requested by JAFZA.

Step 5

Submit and complete authority review

The approved agent submits the application, answers any JAFZA queries and arranges fee settlement as required. The authority may request supplementary documents and determines whether registration is approved.

Step 6

Receive company documents and plan operations

After approval, the company receives its incorporation records through the registered process. Skyway then helps organise banking documentation, record retention, audits, tax assessments, renewals and any separate property approvals.

JAFZA’s service guide publishes a processing target of 5 to 7 working days for a standard new offshore company service, dependent on a complete and accepted file. Bank onboarding, attestations and property NOCs have separate timelines.

Documents Required for JAFZA Offshore Company Formation

The final checklist varies by shareholder type and risk review. We confirm the individual or company-owner route before documents are notarised or couriered.

For individual shareholders
  • Valid passport copy and identification details
  • Founder’s details or professional profile/CV
  • Specimen signature and required incorporation forms
  • Information on the company’s proposed activities and shareholding
  • Source-of-funds, residential address or further KYC records when requested
  • Details of appointed directors, secretary and authorised signatories
For corporate shareholders
  • Certificate of incorporation or registration and good-standing evidence
  • Constitutional documents and ownership/beneficial ownership chart
  • Board resolution approving establishment of the JAFZA Offshore company
  • Power of Attorney and designated signatory identity documents where relevant
  • Certificate of incumbency or ultimate shareholder documentation where required
  • Appropriate notarisation and UAE Embassy attestation of documents as specified by JAFZA

Skyway reviews document completeness and coordinates clarification with the registered agent. Additional requests remain at the Registrar’s discretion.

JAFZA Offshore Company Formation Cost and Renewal Fees

JAFZA publishes a registry fee for offshore incorporation, but this is not the full cost of a company setup package. The complete budget should distinguish JAFZA charges from registered-agent fees, due diligence, attestations, banking assistance and future accounting obligations.

Corporate Bank Account Assistance for JAFZA Offshore Companies

A JAFZA offshore company may apply for UAE banking, and the regulations expressly contemplate holding an account with a UAE bank. That permission does not compel any bank to approve the applicant. The bank reviews beneficial owners, nationality or residency, company purpose, counterparties, source of wealth, transaction volume, expected currencies and exposure to sanctioned or higher-risk markets.

Skyway helps organise a coherent application pack: Certificate of Incorporation, constitutional documents, registered-agent details, ownership chart, passport copies, activity summary, financial background and supporting contracts or asset records. We can also discuss whether international banking is more practical for a particular structure. Bank approval and timelines are never guaranteed.

  • Company purpose

  • Source of wealth
  • Transaction volume

Corporate Tax, Accounting and Annual Compliance

Not exemptoffshore ≠ universal tax exemption

A UAE-registered offshore company is not automatically outside the UAE Corporate Tax system, nor does the word ‘offshore’ grant universal tax exemption. The company must assess its corporate tax status, registration and filing responsibilities, residency and international tax exposure under the applicable legislation. Skyway can support the assessment and coordinate appropriate specialist advice where needed.

10 yearsaccounting records retention

JAFZA Offshore Companies Regulations 2023 require adequate accounting records and 10-year retention of those records. The regulations also provide for accounts to be prepared and examined by auditors, with accounts and auditors’ reports presented under the prescribed annual process. This is a material difference from outdated competitor statements suggesting there are no bookkeeping or audit obligations.

ESRearlier-year issues may remain

UAE Economic Substance notification/reporting requirements were cancelled for financial years ending after 31 December 2022, but earlier-year issues and other compliance obligations may remain relevant. Ownership updates, agent details, licence or registration renewal, tax records and banking KYC must still be kept current.

Why Choose Skyway for JAFZA Offshore Company Formation?

01

We begin with business purpose, not a one-size-fits-all package

Property holding, an international parent company and a group-shareholding vehicle carry different documentation and tax questions. Our team scopes these matters before requesting signatures and payments.

02

One coordinated project from incorporation to documentation

Skyway helps bring together the approved registration channel, shareholders, company officers, attestations, bank readiness and post-setup records. You get a practical task list and clear responsibilities instead of separate disconnected services.

03

Cost transparency across formation and annual upkeep

We distinguish JAFZA’s published registry charges from registered-agent, documentation, banking and annual accounting or auditing costs, so you can assess the full commitment.

04

Freedom to compare jurisdiction alternatives

Where JAFZA Offshore does not fit the asset, cost or banking need, we can compare RAK ICC offshore incorporation, Ajman offshore or a UAE holding company structure before you decide.

JAFZA Offshore Company Formation FAQs

01What is a JAFZA offshore company?

It is a limited-liability company formed under Jebel Ali Free Zone Authority’s Offshore Companies Regulations, primarily for permitted holding, ownership and international activities. It is separate from an operational JAFZA trading or industrial free zone company.

02How much does JAFZA offshore company formation cost?

JAFZA’s current published offshore filing fee is AED 10,000. Its 2023 regulations list AED 2,500 for renewal after 12 months. The total quotation also depends on registered-agent, compliance, documents, audit and optional support charges.

03Must I use a JAFZA-approved registered agent?

Yes for the standard offshore incorporation filing process. JAFZA’s published registration service requires all applications to be processed through approved registered agents. An exception to continued agent retention may apply for companies maintaining an office in the zone under the 2023 regulations.

04Can foreigners own a JAFZA offshore company?

The regulations allow one or more incorporators, including eligible individuals and corporate owners. Authority KYC, sanctions checks, documentation and beneficial ownership disclosure still apply.

05Can JAFZA Offshore own property in Dubai?

The regulations allow ownership in designated freehold areas subject to the applicable rules. A particular property transaction may require property-registry, JAFZA and other relevant NOCs or approvals. No property purchase is guaranteed by company incorporation alone.

06Does JAFZA Offshore come with residence visas?

It does not normally include the standard employee or investor visa allocation of an operating free zone licence. The 2023 regulations describe a limited member-residency application route for qualifying property-owning offshore companies, subject to authority eligibility and approval.

07Can a JAFZA offshore company trade in UAE mainland?

Not simply because it has an offshore certificate. Under the 2023 regulations, appropriate licences or permits are required for activities carried out in the zone or another jurisdiction. A licensed operating company may be needed for direct local trading.

08What documents will a corporate shareholder need?

The standard JAFZA service guide lists parent-company registration documents, good standing, constitutional documents, board resolution, Power of Attorney, ownership/incumbency details and notarised or attested copies as relevant.

09Is a JAFZA offshore company automatically tax-free?

No. Tax and registration obligations must be assessed under UAE Corporate Tax law and the company’s actual circumstances. Offshore formation should never be presented as an automatic lifetime tax exemption.

10Does JAFZA Offshore need audited financial statements?

The 2023 regulations require accounting records and establish audit requirements for company accounts. An appropriate annual accounting and audit plan should be made during formation.

11Can I open a UAE bank account for the offshore company?

You may apply, but the bank makes the decision based on its KYC, AML, source-of-funds, business-purpose and transaction-risk checks. Skyway supports preparation; it cannot promise approval.

12How long does JAFZA Offshore registration take?

JAFZA publishes a 5-7-working-day processing time for its new offshore company service after the accepted application is submitted. Document attestations, authority checks and banking can take longer.

13Can the company later change shareholders or registered agent?

JAFZA publishes procedures for share transfers, changes of registered agent and other corporate amendments. The company must meet documentary and fee requirements through the applicable approved process.
