Sole Establishment in Dubai

A sole establishment in Dubai is a mainland business owned by one individual, with the owner personally responsible for the business's financial obligations. It can be a practical structure for eligible solo professionals and small owner-operated businesses, but it does not provide the same limited-liability separation as an LLC.

Skyway Corporate Services helps founders check whether the sole-establishment legal form is available for the intended activity, whether a Local Service Agent is required, what professional or external approvals apply, and whether a one-person LLC would be a better fit for liability, banking or future growth.

Quick answerSole establishment at a glance

Dubai's official business guide describes a sole proprietorship as a business owned by one person who is personally liable for all financial obligations and liabilities incurred by the business. Current Invest in Dubai activity records also show that, for certain professional activities, the sole-establishment legal form may be available to foreign investors provided a UAE Local Service Agent is appointed. The exact rule must be checked against the selected activity.

Overview

What Is a Sole Establishment in Dubai?

A sole establishment, also commonly called a sole proprietorship, is an owner-operated legal form in which the individual and the business are not separated in the same way as an LLC and its shareholder. One natural person owns the establishment and controls the business, but that individual also carries the financial responsibility for the establishment's obligations.

This structure is therefore best understood as a licensing route for one individual, not as a low-cost version of an LLC. Liability, ownership, tax and future equity options are materially different.

Who Should Consider a Sole Establishment?

A sole establishment can make sense for a founder who will operate alone, offers an eligible professional or service activity, does not need co-founders or outside equity, and understands the personal-liability implications. It can be especially relevant for consultants, trainers, designers and other individual professionals when DET permits the activity under this legal form.

You will be the only owner and do not plan to issue shares to partners or investors.

Your activity is eligible for a sole-establishment legal form under the current DET activity classification.

You are comfortable with the fact that the owner is personally responsible for business obligations.

Your professional qualifications and any regulator approvals can be documented where required.

You have compared the structure with a one-person LLC and still prefer the simpler individual establishment model.

Foreign owners

Can a Foreign Investor Own a Sole Establishment in Dubai?

Foreign-owner eligibility depends on the selected business activity and legal form. Current Invest in Dubai activity records show examples of professional activities where a sole establishment is available to foreign investors provided a UAE Local Service Agent is appointed. This is not the same as giving the agent shares in the business.

Because activity-level rules can change and public guidance is not always identical across every source, Skyway should verify the exact DET activity code, nationality conditions and LSA requirement before the client signs an agent agreement or lease.

What Is a Local Service Agent?

A Local Service Agent is not the same as an equity partner. Where an LSA is required for a foreign-owned professional sole establishment, the arrangement is generally used for government liaison and licensing formalities rather than ownership of the business. The agreement and the agent's role should be documented correctly.

Do not confuse an LSA with the old 51% local-shareholder model used historically for many LLCs. The two relationships are legally and commercially different.

Activities

Which Activities Can Use a Sole Establishment?

Dubai's licensing authority decides which legal forms are available for each business activity. Sole establishments are commonly associated with professional and owner-operated service activities, but the correct answer comes from the activity record, not from a generic list on a consultancy website.

Professional activities can include consulting, design, information services, training and other skill-based services, while regulated professions may require qualifications and approvals from the relevant authority. Commercial or industrial activities can have different legal-form eligibility depending on nationality and current DET rules.

Step-by-step

Step-by-Step Sole Establishment Setup in Dubai

Step 101

Confirm the exact business activity and whether DET permits a sole establishment for that activity and the owner's nationality.

Step 202

Check professional qualifications and external approvals. Regulated professions may require certificates, experience records or approval from the competent authority.

Step 303

Reserve the trade name and obtain initial approval through the Dubai licensing process.

Step 404

Confirm whether a UAE Local Service Agent is required. If it is, prepare and authenticate the appropriate agreement before final licensing.

Step 505

Secure the approved business premises and complete tenancy or Ejari requirements where applicable.

Step 606

Submit the final licence file, including owner documents, approvals, premises evidence and any LSA documentation.

Step 707

Pay the government fee voucher and obtain the business licence.

Step 808

Complete post-licence requirements such as immigration or labour setup, owner or employee visas, bank-account application, tax review and bookkeeping.

Checklist

Documents Commonly Required

Passport copy of the owner.

Emirates ID and residence or visa details where applicable.

Trade name reservation and initial approval documentation.

Professional qualification or regulator approval when the activity requires it.

Local Service Agent agreement where the approved structure requires an LSA.

Tenancy contract, Ejari or other approved premises documentation where applicable.

Any sector-specific NOC, permit or approval required before final licence issuance.

The exact checklist should be confirmed from the selected activity before filing. A professional licence can be delayed when the qualification or external approval is treated as an afterthought.

Cost, Tax, Banking and Visas

Cost

How Much Does a Sole Establishment Cost in Dubai?

The cost is not one fixed number. It can include DET licensing and registration fees, trade name charges, external approvals, premises and Ejari, Local Service Agent fees where applicable, visas and immigration processing, and professional service charges.

A quote should show whether an LSA, office, owner visa, establishment file, external authority approval and renewal support are included. This is more useful than comparing advertised licence prices that exclude the expenses required to actually operate the business.

Corporate Tax

Corporate Tax for a Sole Establishment

The Corporate Tax treatment of a sole establishment is a major point of difference from an LLC. The FTA treats an individual conducting business through a sole proprietorship as a natural person for Corporate Tax purposes. A natural person is subject to Corporate Tax only if they conduct a business or business activity in the UAE and the total turnover from those business activities exceeds AED 1 million in a calendar year.

If the natural person is within the scope of Corporate Tax, the standard rates and relevant deductions or reliefs apply under the Corporate Tax Law. This is why simply writing “9% tax above AED 375,000” without first addressing the AED 1 million natural-person turnover test is incomplete for a sole establishment.

VAT

VAT for a Sole Establishment

VAT follows a different threshold. For a UAE-resident business, mandatory registration generally applies when taxable supplies and imports exceed AED 375,000 over the previous 12 months or are expected to exceed that amount within the next 30 days. Voluntary registration can generally be available from AED 187,500 when the conditions are met.

Banking

Bank Account and KYC for a Sole Proprietor

A licensed sole establishment can apply for a business bank account, but bank approval is independent of DET licensing. The bank can review the owner's background, activity, customers, expected transactions, source of funds, contracts and countries of operation.

Because the structure is closely linked to one individual, keeping clear business records and separating business transactions from personal spending is important for banking, bookkeeping and tax compliance.

Visas & hiring

Visas and Hiring Through a Sole Establishment

Visa and employment options depend on the licence, activity, premises and authority approvals. A sole establishment may be able to sponsor the owner and employees after completing the relevant immigration and labour setup, but headcount and permit eligibility should be confirmed for the specific case rather than assumed from a generic package.

01

Personal liability can expose the owner more directly than an LLC structure.

02

There are no shares to issue to co-founders or investors, so adding owners usually requires a legal-form change or restructuring.

03

The business is highly dependent on one individual, which can affect continuity and succession planning.

04

Certain activities are not available under a sole-establishment legal form or may require professional approvals.

05

A foreign professional may need a Local Service Agent depending on the exact activity and current DET rules.

How we help

How Skyway Supports Sole Establishment Setup

Skyway Corporate Services starts by checking whether a sole establishment is genuinely the best legal form for the proposed activity. We can compare it with a one-person LLC, confirm activity and LSA requirements, coordinate DET licensing and external approvals, support premises and visa procedures, prepare the banking file and connect the business with tax and accounting support.

The goal is to avoid choosing a low-cost structure that becomes unsuitable once the owner needs liability protection, investors, a different banking profile or a wider range of activities.

Questions About Sole Establishments in Dubai

Still have a question? Speak to a Skyway consultant about your sole establishment. Ask a Consultant
What is a sole establishment in Dubai?

A sole establishment is a business owned by one individual. Dubai's official guide states that the owner is personally liable for the financial obligations and liabilities of the business.

Is a sole establishment the same as a sole proprietorship?

Yes. “Sole establishment” is commonly used in Dubai licensing terminology, while “sole proprietorship” is the broader English term for the same single-owner concept.

Can a foreigner open a sole establishment in Dubai?

For certain professional activities, current Invest in Dubai activity records show the legal form can be available to foreign investors with a UAE Local Service Agent. Eligibility and the LSA requirement must be confirmed for the exact DET activity.

Does a Local Service Agent own shares in the sole establishment?

An LSA is not the same as an equity shareholder. Where required, the agent's role is generally government liaison and administrative support under the agent agreement rather than ownership of the business.

Is a sole establishment better than a one-person LLC?

It depends. A sole establishment can be simpler for an eligible solo professional, while a one-person LLC can be more suitable when limited liability, corporate continuity or future investment is important.

Does a sole establishment have limited liability?

No. The owner is personally responsible for the business's obligations, which is a fundamental difference from an LLC.

When does Corporate Tax apply to a sole proprietor in the UAE?

A natural person is subject to Corporate Tax only when they conduct a business or business activity in the UAE and total business turnover exceeds AED 1 million within the calendar year, subject to the Corporate Tax rules.

When does VAT registration apply?

For a UAE-resident business, mandatory VAT registration generally starts when taxable supplies and imports exceed AED 375,000 over the previous 12 months or are expected to exceed the threshold within the next 30 days.

Can a sole establishment hire employees?

It may be able to sponsor employees after the required labour and immigration setup. The actual capacity depends on the licence, premises, activity and authority approvals.

Can I add a partner later?

A sole establishment is designed for one owner. Adding a partner normally requires changing the legal structure rather than simply issuing shares under the existing establishment.
